  • Ownership of deliverables transfers after full payment unless agreed otherwise.
  • Client must ensure readiness such as approvals, information, or infrastructure required for project completion.

4. Payment Terms

  • Advance payment is required before starting services unless agreed otherwise.
  • Remaining payment must be cleared before final delivery of services or reports.
  • Late payments may result in suspension of services or cancellation of orders.
  • Any bank or transaction charges must be borne by the client.

5. Warranty & Support

  • Provenza India provides support as per the agreed project scope.
  • We do not guarantee outcomes affected by third-party actions or client non-compliance.
  • Additional support, revisions, or maintenance may be chargeable unless included in the agreement.

6. Customer Responsibilities

Clients agree to:

  • Provide correct and complete project information.
  • Respond to communication in a timely manner.
  • Make payments as agreed.
  • Follow all instructions or guidelines shared by Provenza India.
  • Obtain necessary permissions or approvals related to their business.

7. Limitation of Liability

Provenza India’s liability is limited to the amount paid for the specific service.
We are not responsible for:

  • Indirect or consequential losses.
  • Loss of business, profits, or data.
  • Delays caused by government authorities, third parties, or unforeseen events.

8. Intellectual Property & Confidentiality

  • All content, designs, documents, reports, and materials created by Provenza India remain our intellectual property unless agreed otherwise.
  • Client information shared with us is kept confidential and used only for project purposes.
  • We may sign Non-Disclosure Agreements (NDAs) when required.

9. Compliance & Standards

Provenza India follows professional standards and industry best practices. We update our processes as regulations or technologies change. Clients are responsible for complying with their own legal or regulatory requirements.

10. Force Majeure

Neither party is responsible for delays caused by events beyond control such as natural disasters, pandemics, war, strikes, internet outages, or government restrictions.

11. Dispute Resolution

Any disputes will first be resolved through mutual discussion. If unresolved within 30 days, disputes will be handled under Indian law through arbitration or courts located in Noida, Uttar Pradesh, India.

12. Termination

Either party may terminate services with written notice. Upon termination:

  • Outstanding payments become immediately due.
  • Work completed up to termination will be billed.
  • Confidential materials will be returned if requested.

13. Amendments to Terms

We may update these Terms to reflect business or legal changes. Updated Terms will be posted on our website. Continued use of our services means acceptance of the updated Terms.

14. Severability

If any part of these Terms is found invalid by a court, the remaining terms will continue to apply.

15. Entire Agreement

These Terms, along with any project proposal, invoice, or written agreement, form the complete agreement between Provenza India and the client.
